Chapter 9 Supplementary Clauses

  1. Article 37 (Revision of the Articles of Association)
    A revision of the Articles of Association herein shall require supporting votes from at least 2/3 of the registered members during a General Meeting and be subject to the approval by the Minister of Land, Infrastructure, and Transport, by submitting the following documents;
    1. 1. 1 copy of the application form for the revision of the Articles of Association
    2. 2. 1 copy of the written explanation of the cause of the revision
    3. 3. 1 copy of the draft of the revised Articles of Association (including a comparison table between the old and new Articles)
    4. 4. 1 copy of other related documents, including the Minutes of Meetings of the General Meeting or the Board Meeting regarding the revision of the Articles of Association
    5. 5. In the case of a revision of the Articles of Association concerning the disposition of Base Properties, 1 copy of the documents which specify the cause of disposition, list of properties to be disposed of, and how they are to be disposed of
  2. Article 38 (Enactment of rules)
    Other details related to the operation of the Association shall be governed by the separate rules made by the Board of Directors.
  3. Article 39 (Application)
    Any issues not covered in the Articles of Association herein shall be governed by the clauses of the Civil Act on similar corporations, the rules on the establishment and supervision of non-profit organizations set forth by the government ministry with jurisdiction, and general practices.
