Chapter 4 General Meeting

  1. Article 18 (The functions of the General Meeting)
    The General Meeting is responsible for the review and making resolutions on the following issues;
    1. 1. Approval of a proposal (draft) for a revision of the Articles of Association;
    2. 2. Approval of a proposed business plan (draft), a budget plan (draft), and closing (draft);
    3. 3. Electing the President, Vice Presidents, and Auditors; approval of the appointment of a Director (draft);
    4. 4. Approval of the draft for a dismissal of an executive officer;
    5. 5. Approval for the disbandment of the Association; and,
    6. 6. Approval for other important decisions.
  2. Article 19 (Types of General Meetings and Calling)
    1. ① General Meetings are either Regular General Meetings or Special General Meetings. A Regular General Meeting shall be held in February every year.
    2. ② A Special General Meeting shall be held in the following cases;
      1. 1. The President deems it necessary;
      2. 2. There is a resolution to hold such a meeting made by the Board of Directors;
      3. 3. There is a request by an Auditor, as per Item 4 of Article 12; or,
      4. 4. 1/3 or more of the registered regular members call for a General Meeting in writing, which shall indicate the reason for the call for the meeting.
    3. ③ The notification of the call for a General Meeting shall be serviced to each member by no later than seven days before the date of the meeting, and such notifications shall indicate the agenda of the meeting.
  3. Article 20 (Quorum)
    1. ① A General Meeting shall stand when at least half of all registered regular members are present.
    2. ② Of the resolutions made by the General Meeting, the quorum for a resolution shall be more than half of the regular registered members, and the resolution shall pass with a majority vote, except for a revision of the Articles of Association or disbandment of the Association. However, if the number of votes is evenly divided, the resolution shall be considered to have been rejected.
    3. ③ A regular member who cannot participate in a General Meeting in person may exercise her voting right in writing or via a representative.
  4. Article 21 (Minute of General Meeting)
    The Secretariat shall prepare a Minute of General Meeting, which shall be signed by the Directors present and archived.
