Chapter 3 Executives

  1. Article 9 (Types and number of executives)
    1. ① The Association shall have the following executive officers;
      1. 1. One President;
      2. 2. Six Vice Presidents;
      3. 3. One Executive Director;
      4. 4. Up to 18 Directors (including the President, Vice Presidents, and Executive Director)
      5. 5. Two Auditors.
        1. ② The Executive Director shall be a full-time position, while the rest of the executives are non-full-time.
  2. Article 10 (Election of executives)
    The President, Vice Presidents, and Auditors are to be elected during a General Meeting, while the Directors are to be appointed by the President and approved in a General Meeting.
  3. Article 11 (The responsibilities of executives)
    1. ① The President shall represent the Association, direct its overall operations, and preside over General Meetings and Board Meetings.
    2. ② Vice Presidents shall assist the President, and in the absence of the President, the eldest among all Vice Presidents shall serve as the acting President.
    3. ③ The Executive Director shall support the President and conduct the operation of the Association.
    4. ④ Directors are to attend Board Meetings to review and vote on the issues related to the operation of the Association. Directors are also to conduct the tasks assigned by the Board or the President.
  4. Article 12 (The responsibilities of Auditors)
    Auditors are charged with the following responsibilities;
    1. 1. To audit the accounting of the Association;
    2. 2. To monitor the operation of the Board of Directors and other Association;
    3. 3. To report the results of the audits in Paragraphs 1 and 2 above to the Board of Directors and the General Meeting and demand corrections of any violations;
    4. 4. To call for a Board Meeting or a General Meeting to report as set forth in Paragraph 3 above, if necessary;
    5. 5. To participate in General Meetings and Board Meetings to provide comments on the operation of the Board of Directors and other operations of the Association; and,
    6. 6. To sign on the minutes of the meeting of General Meetings and Board Meetings.
  5. Article 13 (Terms of executives)
    1. ① An executive’s term shall be for three years. An executive may serve multiple terms. However, the President may serve only one additional term.
    2. ② When there is a vacancy during the term of an executive, the term of the replacing executive shall be the remaining term of the predecessor.
  6. Article 14 (Compensations for executives)
    All Directors, other than the Executive Director, of the Association shall serve without compensation. The compensation for the Executive Director shall be decided by the Board of Directors.
  7. Article 15 (Limitations in qualification)
    A person that falls into any of the following shall not become an executive;
    1. 1. A ward (an adult with a court-appointed guardian) or a person with limited legal custody;
    2. 2. A person who has been declared bankrupt by the court and yet to be restored; or,
    3. 3. A person who has finished his sentence or has gotten exempted from serving his sentence within the past three years due to being convicted and sentenced with a punishment that is equal to or heavier than three years of imprisonment without forced labor.
  8. Article 16 (Dismissal of an executive)
    If an executive is in violation of Item ② of Article 8, such an executive can be dismissed with a resolution by the Board of Directors and approval passed by the General Meeting.
  9. Article 17 (Advisors)
    The President may appoint several advisors with the resolution made by the Board of Directors.
